Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ANSEM Perks platform, website, applications, APIs, and related services (collectively, the "Platform").

Please read these Terms carefully before using the Platform. By accessing, browsing, registering for, connecting a digital wallet to, submitting content to, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Cookie Policy, Security Policy, Platform Disclaimer, and any additional policies or guidelines published on the Platform.

If you do not agree with these Terms, you must not access or use the Platform.

1. About ANSEM Perks

ANSEM Perks is a technology platform that enables verified holders of the ANSEM digital asset ("ANSEM") to discover, access, and redeem benefits offered by independent third-party businesses, creators, organizations, and service providers ("Partners").

The Platform also enables eligible Partners to promote products, services, software, subscriptions, educational content, events, communities, and other benefits to verified ANSEM holders.

ANSEM Perks provides:

• Wallet verification services;
• Eligibility verification based on ANSEM token holdings;
• Discovery of Partner offers;
• Claim management;
• Partner management tools; and
• Related marketplace services.

Unless expressly stated otherwise, ANSEM Perks is not the seller, merchant, supplier, or provider of benefits listed by independent Partners.

2. Acceptance of These Terms

By accessing or using the Platform, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement.
• You are at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is higher.
• You will comply with these Terms and all applicable laws.
• Any information you provide is accurate and kept reasonably up to date.

If you are accessing the Platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Definitions

For purposes of these Terms:

Account means a registered user account created on the Platform.

ANSEM means the digital token designated by the Platform as the eligibility token for benefits available through ANSEM Perks.

Benefit means any discount, promotion, trial, subscription, access right, product, service, experience, digital content, or other advantage offered by a Partner.

Claim means a request by an eligible user to redeem or receive a Benefit.

Holder means a user whose wallet satisfies the eligibility requirements established for a particular Benefit.

Partner means any business, organization, creator, developer, merchant, or service provider approved to publish offers through the Platform.

Platform means ANSEM Perks and all associated websites, applications, APIs, software, and related services.

Wallet means a supported blockchain wallet connected by a user for verification purposes.

Wallet Verification means the process by which the Platform verifies wallet ownership and confirms the applicable ANSEM token balance.

4. The Role of ANSEM Perks

ANSEM Perks operates as a technology platform.

Our role is limited to facilitating:

• discovery of Partner offers;
• verification of wallet ownership;
• verification of eligibility based on configured token requirements;
• management of the claim process; and
• communication between users and Partners where appropriate.

Unless expressly identified otherwise, ANSEM Perks does not:

• manufacture products;
• provide Partner services;
• process or fulfill Partner offers;
• guarantee availability of Benefits;
• guarantee Partner performance;
• guarantee that any Benefit will remain available;
• act as agent for any Partner;
• act as broker or reseller;
• provide investment advice;
• provide financial advice;
• provide tax advice;
• provide legal advice.

Each Partner is solely responsible for the products, services, and Benefits it offers.

5. Changes to the Platform

We continually improve the Platform.

Accordingly, we may:

• add or remove features;
• modify Platform functionality;
• introduce new services;
• discontinue services;
• change eligibility requirements;
• change supported wallets;
• change supported blockchain infrastructure;
• suspend maintenance;
• perform emergency maintenance.

We will make reasonable efforts to minimize disruption, but we do not guarantee uninterrupted availability.

6. Eligibility to Use the Platform

You may use the Platform only if:

• you comply with these Terms;
• your use is lawful in your jurisdiction;
• you are not subject to applicable sanctions or trade restrictions;
• you are not prohibited from receiving the services under applicable law.

We reserve the right to refuse access where required by law or where necessary to protect the Platform, its users, or its Partners.

7. User Accounts

Certain features of the Platform may require you to create an account or provide information such as your email address.

You agree to:

• provide accurate, complete, and current information;
• keep your account information reasonably up to date;
• maintain the confidentiality of your login credentials;
• notify us promptly of any unauthorized access to your account;
• use only accounts registered to you or that you are authorized to use.

You are responsible for all activity occurring under your account unless you notify us of unauthorized access without unreasonable delay.

You may not:

• create accounts using false or misleading information;
• impersonate another individual or organization;
• transfer or sell your account without our prior written approval;
• create multiple accounts to circumvent Platform restrictions or eligibility requirements.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms or applicable law.

8. Wallet Connection and Verification

Certain Platform features require you to connect a supported blockchain wallet.

Connecting a wallet does not, by itself, verify ownership of that wallet.

To verify ownership, the Platform may request that you digitally sign a cryptographic message using your wallet. This signature is used solely to confirm that you control the wallet and does not authorize any blockchain transaction, transfer digital assets, or grant the Platform permission to access or control your funds.

ANSEM Perks will never ask you to provide:

• your wallet seed phrase;
• your recovery phrase;
• your private keys;
• your wallet password; or
• any credentials that would allow access to your digital assets.

If any individual claims to represent ANSEM Perks and requests this information, you should treat it as fraudulent and report it immediately.

9. Wallet Ownership

You represent and warrant that:

• you own the wallet(s) you connect to the Platform or have lawful authority to use them;
• you will not connect wallets belonging to another person without authorization;
• you will not attempt to manipulate or falsify wallet ownership;
• you understand that wallet ownership verification may be repeated at various times to confirm continued eligibility.

We reserve the right to invalidate previous verifications where we reasonably believe that wallet ownership, eligibility, or Platform integrity has been compromised.

10. Token Balance Verification

Eligibility for certain Benefits is determined by the amount of ANSEM tokens held within a verified wallet at the time of verification.

Token balances are verified using blockchain data obtained from supported infrastructure providers.

Eligibility may be checked:

• when a wallet is first connected;
• before a Benefit is claimed;
• periodically during an active session;
• when required by a Partner;
• when required for fraud prevention or security purposes.

A successful verification confirms only that the wallet met the applicable eligibility requirements at the time the verification was performed.

Verification does not constitute:

• proof of ownership of any asset beyond the verification process;
• a guarantee of future eligibility;
• a guarantee that Benefits will remain available;
• a guarantee that token balances will remain unchanged.

11. Supported Wallets and Blockchain Infrastructure

The Platform currently supports only wallets and blockchain networks that have been approved by ANSEM Perks.

We may:

• add support for additional wallets;
• discontinue support for existing wallets;
• change blockchain infrastructure providers;
• migrate verification services;
• temporarily suspend verification during maintenance or infrastructure outages.

Blockchain networks and third-party infrastructure providers operate independently of ANSEM Perks.

Accordingly, we cannot guarantee:

• uninterrupted blockchain availability;
• transaction finality;
• network performance;
• RPC provider availability;
• indexing accuracy; or
• verification timing.

Temporary outages or verification delays do not constitute a breach of these Terms.

12. Platform Security

We implement reasonable administrative, technical, and organizational measures designed to protect the Platform and user information.

These measures may include:

• encrypted communications;
• secure authentication;
• server-side wallet verification;
• audit logging;
• fraud detection;
• rate limiting;
• abuse prevention mechanisms;
• access controls;
• infrastructure monitoring; and
• periodic security reviews.

While we work to maintain a secure Platform, no online service can guarantee absolute security.

Users are responsible for maintaining the security of their own:

• devices;
• browsers;
• wallets;
• authentication credentials;
• recovery phrases; and
• private keys.

You acknowledge that the security of your digital assets ultimately depends on the security of your wallet and your own operational practices.

13. User Responsibilities

When using the Platform, you agree to:

• comply with these Terms and all applicable laws;
• use the Platform only for lawful purposes;
• provide accurate information where requested;
• maintain the security of your account and wallet;
• respect the intellectual property rights of others;
• communicate respectfully with Partners and other users;
• promptly report suspected security issues or fraudulent activity.

You agree not to:

• interfere with the operation of the Platform;
• attempt to gain unauthorized access to systems or data;
• circumvent wallet verification procedures;
• manipulate eligibility requirements;
• exploit software vulnerabilities;
• submit false claims;
• use automated tools to scrape or harvest Platform content without authorization;
• upload malicious software or harmful code;
• engage in fraudulent, deceptive, abusive, or illegal conduct.

14. Suspension and Security Actions

To protect the Platform, its users, and its Partners, ANSEM Perks may immediately suspend or restrict access to any account, wallet, Partner, listing, or claim where we reasonably believe that:

• these Terms have been violated;
• fraudulent activity has occurred;
• security has been compromised;
• applicable law requires action;
• continued access presents an unacceptable risk to the Platform or its users.

Where appropriate, we may request additional information before restoring access.

Nothing in these Terms requires us to provide advance notice where immediate action is reasonably necessary to protect the Platform, comply with legal obligations, or prevent fraud or abuse.

15. Partner Listings and Offers

ANSEM Perks enables approved Partners to publish offers, promotions, discounts, services, digital products, subscriptions, events, educational content, and other benefits ("Offers") to eligible users.

Each Offer is created and managed by the applicable Partner.

Unless expressly stated otherwise, ANSEM Perks is not the provider, seller, merchant, distributor, or operator of Partner Offers.

Each Partner is solely responsible for:

• the accuracy of its Offer;
• the legality of its Offer;
• determining eligibility requirements beyond Platform verification;
• honoring valid claims;
• providing customer support relating to its Offer;
• complying with applicable laws and regulations; and
• maintaining any licenses, registrations, or authorizations required for its business.

ANSEM Perks reserves the right, but not the obligation, to review, edit, reject, suspend, remove, or modify any Offer that we reasonably believe violates these Terms, applicable law, or the interests of the Platform and its users.

Publication of an Offer does not constitute endorsement, certification, or approval of the Partner, its products, or its services.

16. Partner Responsibilities

Partners agree that they:

• own or are authorized to promote the products and services they publish;
• will provide accurate and complete information;
• will not publish misleading or deceptive Offers;
• will honor valid claims in accordance with the published Offer terms;
• will comply with applicable consumer protection, advertising, tax, privacy, and intellectual property laws;
• will maintain appropriate security for their own systems and services;
• will promptly notify ANSEM Perks of any material changes affecting an active Offer.

Partners may not publish Offers involving:

• illegal products or services;
• counterfeit goods;
• malware or malicious software;
• phishing or fraudulent schemes;
• deceptive financial products;
• illegal gambling;
• prohibited weapons;
• sanctioned persons or organizations;
• products or services that infringe the intellectual property rights of others; or
• any content that ANSEM Perks reasonably considers harmful, abusive, or inappropriate.

We may remove any Offer at any time if we reasonably determine that it violates these Terms or presents an unacceptable risk to users or the Platform.

17. Eligibility for Benefits

Eligibility for a particular Offer is determined by the requirements established by the Partner and supported by the Platform.

Eligibility may include one or more factors, including:

• verified ownership of an eligible wallet;
• a minimum ANSEM token balance;
• geographic restrictions;
• availability within a particular jurisdiction;
• claim limits;
• promotional periods;
• existing customer status; or
• additional Partner requirements disclosed within the Offer.

Meeting the technical eligibility requirements displayed by the Platform does not guarantee that an Offer will remain available or that a Partner will continue offering the Benefit.

Partners may modify or discontinue Offers in accordance with applicable law and these Terms.

18. Claim Process

Where an Offer is available, eligible users may submit a Claim through one of the supported redemption methods.

Depending on the Partner, Claims may include:

• revealing a promotional code;
• providing access to a protected redemption link;
• submitting a manual request for review by the Partner; or
• another approved redemption process described within the Offer.

Submitting a Claim does not automatically entitle a user to receive a Benefit.

Partners may require additional information that is reasonably necessary to fulfill an Offer, provided that such requirements are clearly disclosed before submission.

Users are responsible for ensuring that all information submitted during the Claim process is accurate.

ANSEM Perks may implement reasonable limits on the number of Claims submitted by a wallet, account, or user in order to prevent abuse.

19. Offer Availability

Unless expressly stated otherwise:

• Offers are available only while published on the Platform.
• Offers may be subject to inventory limits.
• Offers may expire.
• Offers may be modified.
• Offers may be withdrawn.
• Offers may be suspended.
• Offers may be replaced with updated versions.

We encourage Partners to provide reasonable notice before withdrawing Offers where practical; however, immediate withdrawal may occur where necessary for legal, operational, or security reasons.

ANSEM Perks does not guarantee that any particular Offer will remain available for any period of time.

20. Claim Verification

To protect the Platform and its users, ANSEM Perks may verify eligibility immediately before processing a Claim.

Verification may include:

• wallet ownership;
• current ANSEM balance;
• account status;
• previous Claims;
• abuse prevention checks;
• fraud detection;
• security reviews.

If verification cannot be completed, the Claim may be delayed, rejected, or cancelled.

ANSEM Perks reserves the right to deny or invalidate a Claim where we reasonably believe:

• eligibility requirements were not satisfied;
• fraudulent activity has occurred;
• Platform abuse has occurred;
• inaccurate information has been provided;
• a technical error materially affected the Claim process; or
• fulfillment would violate applicable law.

21. Partner Fulfilment

Each Partner is solely responsible for fulfilling its published Offers.

This includes:

• delivering products or services;
• issuing promotional codes;
• activating subscriptions;
• providing customer support;
• resolving disputes relating to the Benefit;
• honoring published eligibility requirements.

ANSEM Perks does not guarantee that a Partner will fulfill an Offer.

Where appropriate, we may facilitate communication between users and Partners; however, we are not a party to the underlying commercial relationship between the user and the Partner.

22. Third-Party Websites and Services

Many Offers require users to access third-party websites, applications, products, or services.

Such third-party services operate independently of ANSEM Perks.

ANSEM Perks does not control and is not responsible for:

• third-party websites;
• external applications;
• wallet software;
• blockchain networks;
• payment providers;
• hosting providers used by Partners;
• products or services provided by Partners.

Your use of any third-party website or service is governed by that provider's own terms, privacy policy, and applicable agreements.

We encourage users to review those terms before interacting with any third-party service.

23. Reporting Problems with an Offer

If you believe that:

• an Offer is misleading;
• a Partner has failed to honor a valid Offer;
• fraudulent activity has occurred; or
• an Offer violates applicable law or these Terms,

you may report the matter through the Platform or by contacting our support team.

ANSEM Perks may investigate reports at its discretion.

Following an investigation, we may:

• contact the Partner;
• request additional information;
• suspend the Offer;
• remove the Offer;
• suspend the Partner;
• take any other action we reasonably consider appropriate.

ANSEM Perks is not obligated to resolve disputes between users and Partners but may, at its discretion, assist in facilitating communication where appropriate.

24. User Content and Feedback

Users and Partners may submit content to the Platform, including reviews (if enabled in the future), support requests, profile information, business information, logos, descriptions, and feedback.

You retain ownership of the content you submit.

By submitting content, you grant ANSEM Perks a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, publish, and use that content solely for the purpose of operating, improving, promoting, and administering the Platform.

You represent and warrant that:

• you own the content or have the necessary rights to submit it;
• your content does not infringe the rights of any third party;
• your content complies with applicable law and these Terms.

We reserve the right to remove or modify content that violates these Terms or applicable law.

25. Fees and Payments

Access to certain features of the Platform may be provided free of charge, while other features may require payment.

Unless expressly stated otherwise:

• Access to the Platform does not require the purchase of ANSEM.
• Connecting a wallet does not create a financial obligation.
• The Platform does not charge users for viewing publicly available Offers.

Certain services, including Partner listings, promotional placements, premium features, or other commercial services, may require payment now or in the future.

Where fees apply:

• all pricing will be displayed before purchase;
• applicable taxes remain the responsibility of the paying party unless otherwise stated;
• payment obligations become binding once accepted.

Unless required by applicable law, fees are non-refundable after the relevant service has been provided.

26. Intellectual Property

Unless otherwise indicated, the Platform, including its software, design, branding, graphics, interfaces, databases, documentation, text, and other content, is owned by or licensed to ANSEM Perks and is protected by applicable intellectual property laws.

Nothing in these Terms transfers ownership of any intellectual property to users or Partners.

You may not:

• copy or reproduce the Platform;
• reverse engineer the Platform except where permitted by law;
• create derivative works;
• remove copyright notices;
• use our trademarks without permission;
• scrape or systematically harvest Platform content;
• use Platform data to create competing services.

Partners retain ownership of their own trademarks, logos, and submitted content.

Users retain ownership of content they lawfully submit.

27. Acceptable Use

You agree to use the Platform responsibly and lawfully.

You may not:

• violate applicable laws;
• interfere with Platform operations;
• attempt unauthorized access;
• bypass eligibility checks;
• manipulate wallet verification;
• create fake accounts;
• submit false information;
• automate claims without authorization;
• distribute malware;
• perform denial-of-service attacks;
• attempt to discover protected redemption codes;
• attempt to access other users' data;
• use bots to circumvent Platform limits;
• impersonate another person or organization;
• infringe intellectual property rights;
• use the Platform to facilitate fraud or money laundering;
• engage in abusive, threatening, discriminatory, or unlawful conduct.

Violation of these provisions may result in immediate suspension or termination.

28. Suspension and Termination

ANSEM Perks may suspend, restrict, or terminate access to the Platform where we reasonably believe that:

• these Terms have been violated;
• fraudulent activity has occurred;
• security has been compromised;
• required information has been falsified;
• legal obligations require suspension;
• continued access presents a material risk to users, Partners, or the Platform.

Suspension may apply to:

• user accounts;
• wallets;
• Partner accounts;
• individual Offers;
• claims;
• Platform access generally.

Where appropriate, we may provide notice and an opportunity to resolve the issue. However, we reserve the right to take immediate action where necessary to protect the Platform or comply with legal obligations.

Users may discontinue use of the Platform at any time.

Account deletion requests are handled in accordance with our Privacy Policy.

Termination of access does not affect obligations or rights that by their nature survive termination, including intellectual property rights, payment obligations, indemnification obligations, and liability limitations.

29. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

To the fullest extent permitted by law, ANSEM Perks disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to:

• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted availability;
• accuracy;
• reliability;
• compatibility;
• security; and
• error-free operation.

Without limiting the foregoing:

• We do not guarantee that the Platform will always be available.
• We do not guarantee uninterrupted blockchain connectivity.
• We do not guarantee that Partner Offers will remain available.
• We do not guarantee fulfillment of Partner Benefits.
• We do not guarantee the value, liquidity, or future utility of ANSEM.
• We do not guarantee that any Partner will continue operating.
• We do not guarantee that wallet providers, blockchain networks, or third-party infrastructure will remain available.

Nothing on the Platform constitutes:

• investment advice;
• financial advice;
• tax advice;
• legal advice;
• accounting advice; or
• a recommendation to buy, sell, hold, or use any digital asset.

Users remain solely responsible for their own decisions regarding digital assets and interactions with third parties.

30. Limitation of Liability

To the fullest extent permitted by applicable law, ANSEM Perks, its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

This includes, without limitation:

• loss of profits;
• loss of business opportunities;
• loss of revenue;
• loss of goodwill;
• loss of digital assets;
• loss of data;
• business interruption;
• blockchain failures;
• smart contract failures;
• wallet failures;
• Partner misconduct;
• third-party service interruptions;
• delayed or failed Benefit fulfillment.

Our total aggregate liability arising out of or relating to the Platform shall not exceed the greater of:

• the total amount you paid directly to ANSEM Perks during the twelve (12) months preceding the event giving rise to the claim; or
• CHF 100.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited under applicable law, including liability for fraud, willful misconduct, or gross negligence where such limitation is not legally permitted.

31. Indemnification

You agree to defend, indemnify, and hold harmless ANSEM Perks and its owners, affiliates, employees, contractors, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• your use of the Platform;
• your violation of these Terms;
• your violation of applicable law;
• your infringement of intellectual property rights;
• your submitted content;
• fraudulent or unlawful conduct.

Partners additionally agree to indemnify ANSEM Perks against claims arising from:

• products or services they provide;
• inaccurate or misleading Offers;
• failure to honor Benefits;
• regulatory violations;
• intellectual property infringement;
• consumer complaints arising from Partner conduct.

32. Privacy

Our collection and processing of personal data is governed by our Privacy Policy.

By using the Platform, you acknowledge that certain information may be processed for purposes including:

• authentication;
• wallet verification;
• claim processing;
• fraud prevention;
• Platform security;
• customer support;
• legal compliance.

Where required by applicable law, we will obtain your consent before processing personal information for specific purposes.

33. Changes to these Terms

We may update these Terms from time to time.

When material changes are made, we will update the "Last Updated" date and, where appropriate, notify registered users through the Platform or by email.

Continued use of the Platform after revised Terms become effective constitutes acceptance of the updated Terms.

If you do not agree with the revised Terms, you must discontinue use of the Platform.

34. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland, excluding its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Platform shall be submitted to the competent courts of Switzerland, unless mandatory consumer protection laws require otherwise.

Nothing in these Terms limits any rights that cannot be waived under applicable law.

35. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

36. No Waiver

Failure by ANSEM Perks to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

37. Entire Agreement

These Terms, together with our:

• Privacy Policy;
• Cookie Policy;
• Security Policy;
• Platform Disclaimer;
• Acceptable Use Policy (where applicable);
• Partner Terms (where applicable);

constitute the entire agreement between you and ANSEM Perks regarding your use of the Platform.
