Partner Terms & Listing Agreement

1. Introduction

This Partner Terms & Listing Agreement ("Agreement") governs participation in the ANSEM Perks Partner Program.

By submitting an application, publishing an Offer, or using the Partner Portal, you agree to be bound by this Agreement, together with the Terms of Service, Privacy Policy, Cookie Policy, Security Policy, Platform Disclaimer, and any additional policies published by ANSEM Perks.

If you do not agree with this Agreement, you must not publish Offers or use the Partner Portal.

2. Definitions

For purposes of this Agreement:

ANSEM Perks means the technology platform operated by ChartDetector.ai.

Partner means an independent business, organization, sole proprietor, creator, educational institution, software provider, community, or other entity approved to publish Offers through the Platform.

The term "Partner" describes participation in the Platform only and does not create any partnership, joint venture, agency, employment, franchise, fiduciary, or similar legal relationship between the parties.

Offer means any benefit, promotion, subscription, discount, trial, product, service, event, community access, digital download, or other benefit published on the Platform.

Claim means a user's request to redeem an Offer.

3. Eligibility

To participate in the Partner Program you must:

• be legally permitted to operate your business;
• have authority to enter into this Agreement;
• provide accurate information;
• maintain a valid email address;
• maintain an active website or online presence where applicable;
• comply with applicable laws.

We may request additional verification before approving an application.

Approval is entirely at ANSEM Perks' discretion.

4. Partner Verification

To maintain the integrity of the Platform, we may verify information relating to your business.

Verification may include:

• business registration;
• website ownership;
• domain verification;
• social media presence;
• business identity;
• email ownership;
• product legitimacy;
• customer support information.

Verification does not constitute endorsement, certification, or approval of your products or services.

5. Partner Account Security

Partners are responsible for maintaining the confidentiality of their account credentials.

Partners agree to:

• use secure passwords;
• protect login credentials;
• notify ANSEM Perks immediately of suspected unauthorized access;
• keep account information accurate and current.

Partners remain responsible for activity occurring through their account unless unauthorized access has been reported without unreasonable delay.

6. Creating Offers

Partners may create Offers for products or services they are legally authorized to provide.

Each Offer must accurately describe:

• the Benefit;
• eligibility requirements;
• redemption instructions;
• expiration date (if applicable);
• usage limitations;
• support contact information;
• applicable restrictions;
• any additional conditions.

Offers must remain accurate while published.

Partners must promptly update or remove inaccurate information.

7. Approved Offer Categories

Subject to review, the Platform may accept Offers relating to:

• software;
• SaaS products;
• AI services;
• trading tools;
• educational courses;
• memberships;
• online communities;
• consulting services;
• professional services;
• digital downloads;
• physical products;
• events;
• subscriptions;
• premium upgrades;
• free trials;
• discount codes.

Publication remains subject to Platform approval.

8. Prohibited Offers

The following categories are prohibited, including but not limited to:

• illegal products or services;
• counterfeit goods;
• malware;
• spyware;
• phishing tools;
• stolen software;
• unauthorized software licenses;
• fake giveaways;
• deceptive marketing;
• pyramid schemes;
• Ponzi schemes;
• unlicensed financial products;
• illegal gambling;
• adult content;
• hate speech;
• violent extremist content;
• products that infringe intellectual property rights;
• products that violate sanctions or export laws;
• misleading health or medical claims;
• products designed primarily for fraud.

ANSEM Perks may reject additional categories where appropriate.

9. Partner Responsibilities

Partners agree to:

• honor all valid Claims;
• maintain accurate Offer information;
• provide timely customer support;
• maintain reasonable security practices;
• comply with consumer protection laws;
• comply with privacy laws;
• comply with advertising laws;
• comply with intellectual property laws;
• maintain required licenses;
• act honestly and professionally.

Partners remain solely responsible for the products and services they provide.

10. Claim Fulfilment

Partners agree to fulfill valid Claims within a reasonable period.

Where delays occur, Partners should communicate promptly with affected users.

Partners remain solely responsible for:

• product delivery;
• service activation;
• issuing access codes;
• subscription activation;
• customer support;
• refunds where applicable under the Partner's own policies and applicable law.

11. Redemption Methods

Offers may be fulfilled through one or more approved redemption methods, including:

• promotional codes;
• secure redemption URLs;
• API-based fulfillment;
• manual review;
• account upgrades;
• email delivery.

Partners are responsible for maintaining the functionality and security of their redemption systems.

12. Customer Support

Partners are responsible for providing support relating to:

• Offer availability;
• Benefit fulfillment;
• technical issues relating to their products;
• refunds where applicable;
• account access;
• billing for Partner products;
• subscription management.

ANSEM Perks may assist users in contacting Partners but is not obligated to resolve disputes between users and Partners.

13. Listing Review

ANSEM Perks reviews submitted Offers before publication.

Review may consider:

• legitimacy;
• quality;
• security;
• clarity;
• compliance;
• user value;
• reputation;
• Platform standards.

Approval of one Offer does not guarantee approval of future Offers.

14. Monitoring and Compliance

To maintain Platform quality, ANSEM Perks may:

• review published Offers;
• request supporting documentation;
• request clarification;
• conduct redemption testing;
• investigate user complaints;
• temporarily suspend Offers;
• remove Offers.

Partners agree to cooperate with reasonable compliance requests.

15. Fees

At launch, Partner listings may be provided without charge or subject to promotional pricing announced by ANSEM Perks.

ANSEM Perks may introduce fees for features such as:

• standard listings;
• premium listings;
• featured placements;
• sponsored promotions;
• advertising;
• API integrations;
• enterprise tools.

Any future fees will be communicated in advance and will apply only after acceptance by the Partner.

16. Intellectual Property

Partners retain ownership of their:

• trademarks;
• logos;
• product images;
• screenshots;
• descriptions;
• marketing materials.

By submitting content to ANSEM Perks, Partners grant ANSEM Perks a worldwide, non-exclusive, royalty-free license to host, reproduce, display, distribute, and use such content solely for operating, promoting, and administering the Platform.

Partners represent that they possess all necessary rights to submit such content.

17. Data Protection

Partners receiving user information through the Platform agree to:

• use it solely for fulfilling Offers;
• protect it using appropriate security measures;
• comply with applicable privacy laws;
• avoid unnecessary collection of personal information;
• delete information that is no longer required;
• refrain from selling or misusing user information obtained through the Platform.

Partners act as independent controllers or processors of personal data, as applicable, for the information they receive in connection with fulfilling their Offers.

18. Suspension and Removal

ANSEM Perks may suspend or remove a Partner or Offer where we reasonably believe:

• this Agreement has been violated;
• users have been misled;
• fraud has occurred;
• fulfillment obligations are not being met;
• legal compliance issues exist;
• security risks exist;
• intellectual property rights have been infringed;
• the Platform's reputation may be harmed.

Where practical, ANSEM Perks will provide notice and an opportunity to remedy the issue. Immediate suspension may occur where necessary to protect users, the Platform, or comply with legal obligations.

19. Termination

Either party may terminate participation in the Partner Program.

Termination does not relieve the Partner of obligations relating to:

• outstanding Claims;
• payments due;
• confidentiality;
• intellectual property;
• privacy obligations;
• indemnification.

ANSEM Perks may retain archived records where required by law or reasonably necessary to resolve disputes or protect the Platform.

20. Indemnification

The Partner agrees to defend, indemnify, and hold harmless ANSEM Perks, its owners, officers, employees, contractors, and affiliates from claims, damages, losses, liabilities, penalties, fines, and reasonable legal costs arising from:

• the Partner's products or services;
• inaccurate or misleading Offers;
• failure to honor valid Claims;
• consumer protection violations;
• privacy violations;
• intellectual property infringement;
• regulatory investigations relating to the Partner's conduct;
• breach of this Agreement.

21. Limitation of Liability

To the fullest extent permitted by law, ANSEM Perks shall not be liable for:

• lost revenue;
• lost profits;
• indirect damages;
• business interruption;
• customer disputes;
• Partner product failures;
• third-party infrastructure outages;
• blockchain issues;
• wallet provider failures.

Nothing in this Agreement excludes liability where such exclusion is prohibited by applicable law.

22. Changes to this Agreement

ANSEM Perks may update this Agreement from time to time.

Material changes will be communicated through the Partner Portal, by email, or through another reasonable method.

Continued participation after the effective date of revised terms constitutes acceptance of the updated Agreement.

23. Governing Law

This Agreement shall be governed by the laws of Switzerland, excluding its conflict-of-law rules.

Any dispute arising under this Agreement shall be submitted to the competent courts of Switzerland unless mandatory law provides otherwise.
